By accessing and using the services of Mid-Atlantic Vending, LLC ("Company," "we," "our," or "us"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Mid-Atlantic Vending provides vending machine services including:

• Installation and placement of vending machines
• Regular restocking and maintenance of machines
• Product selection and customization
• 24/7 technical support

3. Service Agreements

Specific terms of service, including placement locations, product selection, revenue sharing (if applicable), and maintenance schedules, will be outlined in individual service agreements between the Company and the client.

Service agreements may be terminated by either party with written notice as specified in the individual agreement.

4. Equipment Ownership

All vending machines and equipment remain the property of Mid-Atlantic Vending, LLC unless otherwise specified in writing. Clients are responsible for providing adequate space, electrical connections, and security for the equipment.

5. Client Responsibilities

Clients agree to:

• Provide suitable location and electrical power for vending machines
• Maintain reasonable security for the equipment
• Notify the Company promptly of any equipment issues or damage
• Allow Company access to equipment for servicing and restocking
• Not tamper with, modify, or relocate equipment without authorization

6. Liability and Indemnification

The Company maintains appropriate insurance coverage for its equipment and operations. However, clients agree to:

• Indemnify the Company against claims arising from client negligence or misuse
• Report any accidents or injuries involving the equipment immediately
• Not hold the Company liable for damages beyond the scope of our service agreement

7. Product Quality and Safety

We strive to maintain high standards for product quality and freshness. All products are sourced from reputable suppliers and handled according to food safety regulations. However, the Company is not liable for manufacturer defects or recalls beyond our reasonable control.

8. Payment Terms

Payment terms, including any commission structures or service fees, will be specified in individual service agreements. All payments are due as specified in the agreement.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms of Service by reference.

10. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as agreed upon by both parties.
